Introduction</h2>\r\n<p>This Independent Contractor Agreement (\"Agreement\") is entered into between CleanSnap Ltd (trading as \"CleanSnap\", company registration pending) (\"we\", \"us\", \"the Platform\") and the individual registering as a Cleaner on the CleanSnap platform (\"you\", \"the Cleaner\").</p>\r\n<p>By registering as a Cleaner on CleanSnap, you confirm that you have read, understood, and agree to be bound by this Agreement.</p>\r\n<p>Contact us: <a href=\"mailto:support@cleansnap.co.uk\">support@cleansnap.co.uk</a></p>\r\n\r\n<h2>2. Your Status: Independent Contractor</h2>\r\n<p><strong>You are an independent, self-employed contractor.</strong> You are not an employee, worker, agent, or partner of CleanSnap. Nothing in this Agreement creates an employment relationship, a worker relationship, a partnership, or a joint venture between you and CleanSnap.</p>\r\n<p>This means:</p>\r\n<ul>\r\n  <li>You are responsible for paying your own income tax and National Insurance contributions to HMRC.</li>\r\n  <li>You are not entitled to employee benefits such as holiday pay, sick pay, pension contributions, or employment rights under UK employment law.</li>\r\n  <li>You are free to work for other platforms, agencies, or clients at any time.</li>\r\n  <li>You control how, when, and where you perform cleaning services.</li>\r\n</ul>\r\n<p>If HMRC or any other authority determines that you are an employee or worker of CleanSnap, this Agreement shall be interpreted to the maximum extent permitted by law to preserve the independent contractor relationship.</p>\r\n\r\n<h2>3. How the Platform Works for Cleaners</h2>\r\n<p>CleanSnap is a marketplace platform that connects Customers with independent Cleaners. We facilitate bookings, payments, and communication &mdash; but we do not provide cleaning services ourselves.</p>\r\n<ol>\r\n  <li><strong>Job Offers:</strong> When a Customer requests a clean, the job is offered to available Cleaners in the area. You may view available jobs in the app.</li>\r\n  <li><strong>Acceptance:</strong> You choose which jobs to accept. You are under no obligation to accept any job.</li>\r\n  <li><strong>Performing the Service:</strong> Once you accept a job, you travel to the Customer's location and perform the cleaning service to a professional standard.</li>\r\n  <li><strong>Completion and Payment:</strong> When you mark a job as complete, the Customer's payment is captured and your earnings (minus the platform service fee) are transferred to you.</li>\r\n</ol>\r\n\r\n<h2>4. Your Right to Accept or Decline Work</h2>\r\n<p>You have the absolute right to:</p>\r\n<ul>\r\n  <li><strong>Accept or decline</strong> any job offered to you, for any reason, without penalty (subject to the cancellation terms below).</li>\r\n  <li><strong>Set your own availability</strong> through the app. You decide when you are available to work.</li>\r\n  <li><strong>Take breaks or time off</strong> at any time, without permission or notice to CleanSnap.</li>\r\n  <li><strong>Work for other platforms</strong> or clients simultaneously &mdash; there is no exclusivity requirement.</li>\r\n</ul>\r\n<p>We do not set minimum hours, shifts, or quotas. Your engagement with the Platform is entirely at your discretion.</p>\r\n\r\n<h2>5. Right to Send a Substitute</h2>\r\n<p>If you are unable to fulfil an accepted job, you may arrange for a qualified substitute to perform the service on your behalf, provided that:</p>\r\n<ul>\r\n  <li>The substitute is registered as a Cleaner on CleanSnap and has completed all verification requirements.</li>\r\n  <li>You notify the Customer and CleanSnap through the app before the scheduled service time.</li>\r\n  <li>You remain responsible for ensuring the substitute performs the service to a professional standard.</li>\r\n</ul>\r\n<p>If you cannot arrange a substitute, you must cancel the job through the app as early as possible.</p>\r\n\r\n<h2>6. How You Are Paid</h2>\r\n<h3>Service Fee</h3>\r\n<p>CleanSnap charges a <strong>15% service fee</strong> on each completed booking. This fee is added to your price and paid by the Customer. It is deducted from the total booking amount before your earnings are transferred.</p>\r\n<p>For example: if the total booking price is &pound;115, the Customer pays &pound;115. CleanSnap retains &pound;15 (the 15% service fee calculated on the base price of &pound;100), and you receive &pound;100.</p>\r\n\r\n<h3>Payment Method</h3>\r\n<p>Earnings are paid to the bank account or Stripe account you provide during registration. You are responsible for ensuring your payment details are accurate and up to date.</p>\r\n\r\n<h3>Payment Timing</h3>\r\n<p>Payments are processed after job completion. The timing of payouts to your account depends on Stripe's processing schedule and your bank. We aim to transfer earnings promptly, but CleanSnap is not responsible for delays caused by Stripe or your bank.</p>\r\n\r\n<h3>Tax Responsibility</h3>\r\n<p>As a self-employed contractor, you are solely responsible for:</p>\r\n<ul>\r\n  <li>Registering as self-employed with HMRC</li>\r\n  <li>Filing your own Self Assessment tax return</li>\r\n  <li>Paying income tax and National Insurance contributions</li>\r\n  <li>Keeping accurate records of your earnings and expenses</li>\r\n  <li>Registering for VAT if your turnover exceeds the VAT threshold</li>\r\n</ul>\r\n<p>CleanSnap does not deduct tax or National Insurance from your earnings. We may be required to report your earnings to HMRC under DAC7 digital platform reporting rules.</p>\r\n\r\n<h2>7. Your Equipment and Supplies</h2>\r\n<p>You are responsible for providing your own cleaning equipment unless the Customer has opted to provide their own products for a specific booking. The booking details will clearly indicate whether you need to bring supplies.</p>\r\n<p>You are responsible for maintaining your equipment in good working order and ensuring any products you use are safe and suitable for the surfaces being cleaned.</p>\r\n\r\n<h2>8. Professional Standards</h2>\r\n<p>While CleanSnap does not control how you perform your work, you agree to:</p>\r\n<ul>\r\n  <li>Perform all accepted cleaning services to a professional standard consistent with industry norms.</li>\r\n  <li>Arrive at the Customer's property at the agreed time (or notify the Customer promptly if you will be late).</li>\r\n  <li>Treat Customers, their property, and their household members with respect and courtesy.</li>\r\n  <li>Not engage in any unlawful, dishonest, or dangerous behaviour while performing services.</li>\r\n  <li>Comply with all applicable health and safety regulations.</li>\r\n  <li>Not solicit Customers for work outside the Platform for a period of 12 months after your last booking with that Customer through CleanSnap.</li>\r\n</ul>\r\n\r\n<h2>9. Cancellations by You</h2>\r\n<p>If you need to cancel an accepted job:</p>\r\n<ul>\r\n  <li>Cancel as early as possible through the app to allow the Customer to make alternative arrangements.</li>\r\n  <li>The Customer will receive a full refund if you cancel.</li>\r\n</ul>\r\n<p>Repeated cancellations may result in:</p>\r\n<ul>\r\n  <li>Reduced visibility of your profile in search results</li>\r\n  <li>Temporary suspension from receiving new job offers</li>\r\n  <li>In severe cases, termination of your account</li>\r\n</ul>\r\n<p>We understand that genuine emergencies occur. Occasional cancellations with reasonable notice will not result in penalties.</p>\r\n\r\n<h2>10. Insurance (Mandatory)</h2>\r\n<p>You <strong>must hold and maintain valid Public Liability Insurance</strong> with a minimum cover of <strong>&pound;1,000,000</strong> for the entire period during which you offer or provide services through CleanSnap. This protects you against claims for accidental damage to a Customer's property or injury to third parties while you are working.</p>\r\n<p>CleanSnap does not provide insurance cover for Cleaners. You are solely responsible for arranging, paying for, and maintaining your own insurance.</p>\r\n<p>You <strong>must provide valid proof of your Public Liability Insurance during verification, and you cannot accept any jobs until it has been verified.</strong> You must keep your cover current at all times. If your insurance lapses or expires, your verification will be suspended automatically and you will be unable to accept jobs until you upload valid proof of renewed cover.</p>\r\n<p>If you perform any cleaning service without holding valid Public Liability Insurance, you do so entirely at your own risk and accept full personal liability for any damage or injury caused.</p>\r\n\r\n<h2>11. Identity and Verification</h2>\r\n<p>To register as a Cleaner, you must:</p>\r\n<ul>\r\n  <li>Be at least <strong>18 years old</strong></li>\r\n  <li>Have the <strong>legal right to work</strong> in the United Kingdom</li>\r\n  <li>Provide accurate personal information, including your full legal name and National Insurance number</li>\r\n  <li>Complete any identity verification or background check processes that we require</li>\r\n</ul>\r\n<p>We reserve the right to request additional documentation at any time to verify your identity and right to work. Failure to provide requested documentation may result in suspension or termination of your account.</p>\r\n\r\n<h2>12. Reviews and Ratings</h2>\r\n<p>Customers may leave reviews and ratings after a completed service. These are displayed on your profile and help other Customers make informed decisions.</p>\r\n<ul>\r\n  <li>Reviews must be honest and relate to the cleaning service provided.</li>\r\n  <li>You may respond to reviews through the app.</li>\r\n  <li>If you believe a review is fraudulent, defamatory, or violates our policies, you may report it for review by our team.</li>\r\n</ul>\r\n<p>Consistently low ratings may affect your visibility on the platform. We will notify you if your average rating falls below our minimum threshold and provide an opportunity to improve before taking further action.</p>\r\n\r\n<h2>13. Data Protection</h2>\r\n<p>We collect and process your personal data in accordance with our <strong>Privacy Policy</strong>. By registering as a Cleaner, you acknowledge that:</p>\r\n<ul>\r\n  <li>We collect your name, contact details, National Insurance number, bank details, and professional information.</li>\r\n  <li>Sensitive data (National Insurance number, bank details) is encrypted at rest using AES-256-GCM encryption.</li>\r\n  <li>Your name and professional profile are visible to Customers when they browse available Cleaners.</li>\r\n  <li>Your phone number and limited contact details are shared with Customers for confirmed bookings only.</li>\r\n  <li>We may report your earnings to HMRC under DAC7 requirements.</li>\r\n</ul>\r\n<p>For full details on how we handle your data, please read our <strong>Privacy Policy</strong>.</p>\r\n\r\n<h2>14. Intellectual Property</h2>\r\n<p>All content on the Platform (logos, text, graphics, software) is owned by CleanSnap or its licensors. You may not use CleanSnap's branding, logos, or materials for any purpose without our written permission.</p>\r\n<p>You grant CleanSnap a non-exclusive, royalty-free licence to use your profile information (name, bio, photos) for the purposes of operating and promoting the Platform.</p>\r\n\r\n<h2>15. Suspension and Termination</h2>\r\n<h3>Termination by You</h3>\r\n<p>You may close your account at any time through the app settings or by contacting us. You must complete any accepted jobs before closing your account, or cancel them with appropriate notice.</p>\r\n<p>Any outstanding earnings will be paid to you after account closure, subject to a reasonable processing period.</p>\r\n\r\n<h3>Suspension or Termination by CleanSnap</h3>\r\n<p>We may suspend or terminate your account if:</p>\r\n<ul>\r\n  <li>You breach this Agreement or our Terms of Service</li>\r\n  <li>You engage in fraudulent, dishonest, or unlawful behaviour</li>\r\n  <li>You receive repeated complaints or consistently low ratings</li>\r\n  <li>You fail to complete identity verification or provide requested documentation</li>\r\n  <li>Your account has been inactive for more than 12 months</li>\r\n</ul>\r\n<p>Where possible, we will give you notice and an opportunity to address the issue before termination. In cases of serious misconduct, fraud, or safety concerns, we may suspend your account immediately without notice.</p>\r\n\r\n<h3>Effect of Termination</h3>\r\n<p>Upon termination:</p>\r\n<ul>\r\n  <li>You will no longer receive new job offers.</li>\r\n  <li>Any outstanding earnings for completed jobs will be paid to you.</li>\r\n  <li>The non-solicitation obligation in Section 8 continues for 12 months after termination.</li>\r\n  <li>We will retain your data in accordance with our Privacy Policy and legal obligations.</li>\r\n</ul>\r\n\r\n<h2>16. Limitation of Liability</h2>\r\n<p>CleanSnap is a marketplace platform. We facilitate connections between Customers and Cleaners but do not supervise, direct, or control the cleaning services you provide.</p>\r\n<p>To the maximum extent permitted by law:</p>\r\n<ul>\r\n  <li>CleanSnap is not liable for any loss or damage you suffer in connection with a cleaning service, including property damage, personal injury, or loss of earnings.</li>\r\n  <li>CleanSnap is not liable for any indirect, incidental, special, or consequential damages.</li>\r\n  <li>Our total liability to you for any claim shall not exceed the total service fees you have paid to CleanSnap in the 12 months preceding the claim.</li>\r\n</ul>\r\n<p>Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by English law.</p>\r\n\r\n<h2>17. Indemnification</h2>\r\n<p>You agree to indemnify and hold CleanSnap harmless from any claims, damages, losses, or expenses (including legal fees) arising from:</p>\r\n<ul>\r\n  <li>Your breach of this Agreement</li>\r\n  <li>Your negligent or wilful acts or omissions while performing cleaning services</li>\r\n  <li>Any claim by a Customer relating to damage, injury, or loss caused by your actions</li>\r\n  <li>Your failure to comply with tax, insurance, or legal obligations</li>\r\n</ul>\r\n\r\n<h2>18. Dispute Resolution</h2>\r\n<p>If you have a dispute with a Customer, please report it through the app or contact us at <a href=\"mailto:support@cleansnap.co.uk\">support@cleansnap.co.uk</a>. We will review the dispute and aim to resolve it within 5 business days.</p>\r\n<p>If you have a dispute with CleanSnap regarding this Agreement, please contact us in writing. We will attempt to resolve the matter informally first. If we cannot reach a resolution, either party may pursue the matter through the courts.</p>\r\n\r\n<h2>19. Changes to This Agreement</h2>\r\n<p>We may update this Agreement from time to time. When we make material changes, we will notify you through the app and ask you to review and accept the updated Agreement before continuing to use the Platform as a Cleaner.</p>\r\n<p>If you do not agree to the updated Agreement, you should stop accepting jobs and close your account. Your continued use of the Platform after accepting the updated Agreement constitutes your agreement to the revised terms.</p>\r\n\r\n<h2>20. Governing Law</h2>\r\n<p>This Agreement is governed by the laws of <strong>England and Wales</strong>. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.</p>\r\n\r\n<h2>21. General</h2>\r\n<ul>\r\n  <li><strong>Entire Agreement:</strong> This Agreement, together with our Terms of Service, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and CleanSnap regarding your use of the Platform as a Cleaner.</li>\r\n  <li><strong>Severability:</strong> If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.</li>\r\n  <li><strong>Waiver:</strong> Our failure to enforce any right or provision does not constitute a waiver of that right or provision.</li>\r\n  <li><strong>Assignment:</strong> You may not assign your rights or obligations under this Agreement without our written consent.
